In a strategic move to enhance its AI capabilities, SAP, the European software giant, has announced its acquisition of the Berlin-based AI startup Prior Labs for an undisclosed sum. This investment, amounting to approximately €1 billion ($1.16 billion), is set to transform Prior Labs into a cutting-edge AI lab focused on structured data over the next four years.

Prior Labs, founded just 18 months ago by Frank Hutter, Noah Hollmann, and Sauraj Gambhir, specializes in tabular foundation models (TFMs)--AI models designed to analyze and predict outcomes from data organized in tables and databases. This focus aligns perfectly with SAP's core business, as its software solutions for finance, human resources, procurement, and expense management heavily rely on structured data.

While SAP has not disclosed the exact acquisition cost, sources indicate that it involved a significant cash component, providing a lucrative exit for the founders. The acquisition is seen as a proactive step for SAP, particularly as the tech landscape evolves towards more autonomous AI solutions.

To maintain control over its ecosystem, SAP has implemented restrictions on unauthorized AI agents, including a block on OpenClaw, a competing technology. The company has emphasized that only SAP-endorsed architectures will have access to its products via API, ensuring a secure environment for its clients.

In recent years, SAP has actively invested in generative AI companies, recognizing the potential of AI technologies beyond just language models. This includes backing startups like Anthropic, Aleph Alpha, and Cohere, which are now merging to create a formidable player in the AI landscape.

Prior Labs' acquisition is particularly significant given its TabPFN model series, which has gained traction among developers, with over three million downloads of its open-source models. SAP has committed to supporting Prior Labs as an independent unit, allowing for rapid research and development while integrating its innovations into the broader SAP portfolio.

Both SAP and Prior Labs aspire to position themselves as leaders in the AI sector, particularly in Europe. The collaboration aims to develop TFMs capable of seamlessly integrating structured data with language processing and reasoning capabilities.

With this substantial investment, SAP not only strengthens its AI capabilities but also aims to establish Prior Labs as a globally recognized frontier AI lab for structured data. Founder Frank Hutter expressed optimism about this partnership, highlighting its potential to drive innovation in the AI field.

As SAP continues to navigate the evolving AI landscape, this acquisition could redefine its role in enterprise AI, paving the way for advancements that may significantly impact how businesses utilize data-driven insights in the future.
